proper party
As distinguished from a necessary party, is one who has an interest in the subject-matter of the litigation, which may be conveniently settled therein. One without whom a substantial decree may be made, but not a decree which shall completely settle all the questions which may be involved in the controversy and conclude the rights of all the persons who have any interest in the subject of the litigation.

A proper party is one who may be joined in action but whose nonjoinder will not result in dismissal. Jones Knitting Corp. v. A. M. Pullen & Co., D.C.N.Y., 50 F.R.D. 311, 314.
Those without whom cause might proceed but whose presence will allow judgment more clearly to settle controversy among all parties. Cities Service Oil Co. v. Kronewitter, 199 Kan. 228, 428 P.2d 804, 807.
